You acknowledge by your use of the PalsAbroad.com Online Communities, your agreement to be bound by the terms of this Member Agreement and any member agreement(s) related to or accompanying PalsAbroad.com Online Communities-related software and/or services. You further acknowledge that you have read, understood and agreed to be bound by terms of
(i) the PalsAbroad.com Terms & Conditions,
(ii) the PalsAbroad.com Privacy Policy and any other agreements with PalsAbroad.com that apply specifically to you (currently in effect). Individuals also agree to comply with applicable legal requirements including those related to restraint of trade, anti-competition, boycotting and price-fixing. |

By consenting to the PALSABROAD.COM Online Communities Member Agreement and the associated policies and guidelines, you are granted permission to receive information relevant to PalsAbroad.com, its Membership and the PalsAbroad.com communities at large. You will also have the opportunity to interact and communicate with other individuals who are using the PALSABROAD.COM Online Communities. |

The PalsAbroad.com Online Communities is to be used for academic and related social interaction only. Engaging in any improper use of this site is strictly prohibited. In addition, whereas healthy interaction, discussion and critique of ideas are encouraged, it is unacceptable to critique person(s) offering the ideas. |

It is the responsibility of the Member to keep up to date virus protection software on their computers (PC) and scan all documents for viruses prior to posting documents to or downloading documents from the PalsAbroad.com Online Communities. PalsAbroad.com cannot be held accountable for any documents that contain viruses. |

This Member Agreement may be modified by PalsAbroad.com without notice. It is the responsibility of the member to review the Member Agreement regularly for changes and/or amendments. |

PalsAbroad.com reserves the right, at its sole discretion, to terminate a member’s account with PalsAbroad.com for reasons including, but not limited to, the policies and guidelines listed above. If your member account is terminated, you may contact the site administrator for possible reinstatement. The site administrator, at his or her sole discretion, will consider such a request for reinstatement and will respond within a reasonable period of time to such request. In addition, inactivity on the site(s) for more than 60 consecutive days will result in the termination of your Online Communities registration. |

You will receive a password (which you can change at your own discretion and risk) and account designation upon completing the PalsAbroad.com Online Communities' registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to
(i) immediately notify PalsAbroad.com of any unauthorized use of your password or account or any other breach of security, and
(ii) ensure that you exit from your account at the end of each session. |

By participating in the PalsAbroad.com communities you consent to the receipt of PalsAbroad.com related Informational Emails. Other than the limited use noted above, PalsAbroad.com will not display or distribute your name, email address or other personal information in any manner without your prior permission. |

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not PalsAbroad.com, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Online Communities. PalsAbroad.com does not control the Content posted via its Online Communities and, as such, does not guarantee the accuracy, integrity or quality of such Content. You agree to not use an Online Communities to: |

1. Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
2. Harm or contact minors in any way;
3. Impersonate any person or entity, including, but not limited to, a PalsAbroad.com official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
4. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
5. Upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
6. Upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party, including, but not limited to all PalsAbroad.com publications available for download on the PalsAbroad.com Online Communities;
7. Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
8. Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
9. Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other members of the Service are able to type, or otherwise act in a manner that negatively affects other members' ability to engage in real time exchanges;
10. Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
11. Intentionally or unintentionally violate any applicable local, state, national or international law;
12. "Stalk" or otherwise harass another; or
13. Collect or store personal data about other members. |

You acknowledge that PalsAbroad.com does not pre-screen Content, but that PalsAbroad.com and its designees shall have the right (but not the obligation) to remove any Content that violates this Member Agreement or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. You acknowledge and agree that PalsAbroad.com may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:
(i) comply with legal process;
(ii) enforce this Member Agreement; or
(iii) respond to claims that any Content violates the rights of third-parties. |

Contend Submitted or Made Available for Inclusion in Communities |

PalsAbroad.com does not claim ownership of Content you submit or make available for inclusion on an Online Communities. However, with respect to Content you submit or make available for inclusion on any Online Communities, you grant PalsAbroad.com a world-wide, royalty free and non-exclusive license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Content (in whole or in part) in any format or medium now known or later developed. |

You agree to indemnify and hold PalsAbroad.com, and its subsidiaries, affiliates, officers, directors, employees, and agents harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through an Online Communities or otherwise arising from your use on the PalsAbroad.com Online Communities. |

The Online Communities may provide, or third parties may provide, links to other World Wide Web sites or resources. Because PalsAbroad.com has no control over such sites and resources, you acknowledge and agree that PalsAbroad.com is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that PalsAbroad.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource. |

You expressly understand and agree that:
1. Your use of the PalsAbroad.com service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. Palsabroad.com expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
2. Palsabroad.com makes no warranty that the online communities (i) will meet your requirements, (ii) will be uninterrupted, timely, secure, or error-free, (iii) that the results that may be obtained from the use will be accurate or reliable, (iv) that the quality of any products, services, information obtained by you through the online communities will meet your expectations, and (v) that any errors in the software will be corrected.
3. Any material downloaded or otherwise obtained through the use of palsabroad.com online communities is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
4. No advice or information, whether oral or written, obtained by you from palsabroad.com or through or from the service shall create any warranty not expressly stated in this member agreement. |

You expressly understand and agree that palsabroad.com shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if palsabroad.com has been advised of the possibility of such damages), resulting from:
(i) The use or the inability to use the online communities services;
(ii) The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the online communities services;
(iii) Unauthorized access to or alteration of your transmissions or data;
(iv) Statements or conduct of any third party on an online communities service; or
(v) Any other matter relating to the online communities services. |

Governing Law and Dispute Resolution |

You agree that this Member Agreement shall be governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflicts of law principles thereof. Any controversy or claim arising out of or relating to this Agreement or the breach thereof will be settled by binding arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration will be held in Philadelphia, Pennsylvania. |

This Member Agreement constitutes the entire agreement between you and PalsAbroad.com and governs your use of the PalsAbroad.com Online Communities. The failure of PalsAbroad.com to exercise or enforce any right or provision of this Member Agreement shall not constitute a waiver of such right or provision. If any provision of this Member Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the other provisions of this Member Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Online Communities Service or the Member Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
